Sync License Agreement

1. Grant of license

In exchange for the fee above, Licensor grants Licensee a non-exclusive, non-transferable, worldwide, perpetual license to synchronize the version of the Music checked above with the single Production named above and to distribute and publicly display that Production in the media allowed by the selected tier (Section 2).

2. Permitted use by tier

1. Personal / Small Creator: one non-monetized online video, podcast episode or personal project.
2. Monetized Creator / Indie Film: one monetized online video, or one independent, student or documentary film, including festival screenings and online distribution.
3. Commercial / Corporate: one advertisement, branded video or corporate production, including paid online and social media advertising.

3. What Licensee may do

Edit the length of the Music, loop it, fade it, and mix it under dialogue, narration or sound effects, as needed to fit the Production.

4. What Licensee may not do

1. Use the Music in more than one Production, or use the other version of the song, without buying another license.
2. Resell, sublicense, share, or distribute the Music by itself, as a sound file, or in any music library, sample pack or template.
3. Remix the Music into a new song or recording, or claim authorship or ownership of it.
4. Register the Music, or a Production built mainly on it, with YouTube Content ID or any other fingerprinting service.
5. Use the Music to train, fine-tune or test any artificial intelligence or machine-learning system.
6. Use the Music in content that is defamatory, hateful, pornographic or unlawful, or in political or campaign advertising without Licensor's written consent.

5. Ownership

Licensor keeps all ownership of the Music, including the copyright in the composition and the sound recording. This license is non-exclusive, so Licensor may license the Music to others.

6. Credit

Credit is appreciated but not required. Suggested credit: Music: "Superman Like You" by Nick Poma (add "Remix" if you licensed the Remix).

7. Copyright claims

If an automated system flags the Production, Licensee may send this agreement and the Production link to Licensor, who will make reasonable efforts to release the claim.

8. Licensor's promise

Licensor confirms that he wrote the lyrics and melody, performed the guitar and vocals, and owns or controls the rights needed to grant this license. Instrumental production and the final mix were created with Suno AI under a paid Suno Premier subscription, which grants Licensor commercial rights to the output.

9. Performance royalties

This license does not cover public-performance royalties collected by performing rights organizations (such as BMI or ASCAP) for broadcast. Broadcasters normally pay these through their own blanket licenses. Licensor keeps the writer's share.

10. Ending the license

If Licensee breaks these terms, the license ends automatically and Licensee must stop using the Music in any new publication. The fee is non-refundable after the files are delivered, unless Licensor agrees otherwise.

11. Limitation of liability and governing law

Licensor's total liability under this agreement will not exceed the fee paid. This agreement is governed by the laws of the State of Nebraska, USA, and is the entire agreement between the parties for this license.

Online purchase note: if this license was bought online, Licensee's completed payment counts as acceptance of these terms, and no Licensee signature is needed.
